Lerøy Seafood Group seeks remaining shares of Havfisk, Norway Seafood Group

Following its agreement with Aker Capital AS and Aker Capital II AS to buy Aker’s 63.21 percent ownership in Havfisk and its 73.63 percent ownership stake in Norway Seafoods, Lerøy Seafood Group is pursuing an effort acquire all outstanding shares of both companies.

The company is offering NOK 36.50 (EUR 3.94, USD 4.46) per share of Havfisk’s stock, equal to the price it paid in its transaction with Aker. It is offering NOK 1 (EUR 0.11, USD 0.12) for Norway Seafoods – also the same price it paid. The Havfisk offer is required by Norwegian law; the Norway Seafoods is a voluntary move. Both offers are valid from 19 September 2016 to 17 October 2016 and are subject to extension, according to a 15 September press release from the company.

Lerøy paid approximately EUR 200 million (USD 226 million) for the two companies, giving it Havfisk’s sizeable trawler fleet and whitefish quota in Norway, and control over Norway Seafoods whitefish processing, sales and distribution operation in Norway.
